NEGOTIABLE INSTRUMENTS
Section 1: An instrument to be negotiable must conform to the following requirements:
Must be in writing and signed by the maker or drawer (acct holder)
Must contain and unconditional promise or order to pay a sum certain in money o
No other obligations included
Must be payable on demand or at a fixed or determinable future time
Must be payable to order or bearer
When the instrument is addressed to to a drawee ( bank ), ), he must be named or otherwise indicated therein with reasonable certainty.
Section 2: An instrument is negotiable even even if by its tenor it would be paid with a) interest at an unspecified rate (incalculable) b) attorney’s fees
Section 3: A promise to pay is unconditional even if reference reference is made to a fund from which a) payment is to be made b) reimbursement is to be made o if A, then the instrument is not negotiable because the promise to pay is CONDITIONAL.
Section 5: Negotiability is not affected by the fact the NI is undated because it can be remedied by filling it or putting on a date.
Section 7: An instrument is payable on demand when:
It is expressed to be payable on demand, at sight or presentation Or in no time for payment is expressed
When an instrument is issued, accepted, or indorsed indorsed when OVERDUE, it is, as regards to the person so issuing, accepting or indorsing it, payable on demand. ( up to 6 months)
Section 8: An instrument is payable to order where it is drawn payable to the order of a specified person or to him as his order. It may be drawn payable to the order of:
A payee who is NOT maker, drawer, or drawee
The drawee or maker
Two or more payees jointly
One ore more several payees The holder of an office for the time being
Where the instrument is payable to order, the payee must be named or otherwise indicated therein with reasonable certainty. Section 9: The instrument is payable to bearer –
When it is expressed to be payable
When it is payable to a person named therein or bearer
When it is payable to the order of a fictitious or non-existing person, and such fact was known to the person making it so payable
When the name of the payee does not purport to the name of any person
When the only or last indorsement is an indorsement in blank.
Section 10: There is no prescribed or standard form for Negotiable Instruments. TRUE
Section 11: Where the instrument or an acceptance or any indorsement thereon is dated, such date is deemed PRIMA FACIE to be the true date of the making, drawing, acceptance or indorsement, as the case may be.
Section 12: The instrument is not invalid for the reason only that is ante-dated or post-dated, provided this is not done for an illegal or fraudulent purpose.
Section 14: If a person is issued a negotiable instrument wanting a material, he/she can remedy the situation by filling in the blanks. A signature on a blank paper delivered by the person making the signature in order that the paper may be converted into a NI operates as a prima facie authority to fill it up as such for any amount. If a person is issued a blank paper signed by the issuer, he can convert it into a NI, provided that he fills it up strictly in accordance to authority. Whatever the circumstances are that surround a validly signed piece of paper it will not matter if the paper ends up with a holder in due course. Section 15: When an incomplete instrument has not been delivered, it will not, if completed and negotiated without authority, BE A VALID CONTRACT in the hands of any holder.
Section 16: Until it is delivered, every instrument is incomplete and revocable. The delivery in order to be effectual must be made either by or under the authority of the party making, drawing and accepting or indorsing. But where the instrument is in the hands of a holder in due course, delivery if the NI in his or her possession is presumed.
Section 17: In resolving ambiguities, preference is given:
To the sum denoted by the words.
The interest running from the date of the instrument, if undated, from the issue thereof
Written provisions prevail
Ambiguous if it is a bill or a note, HIDC may treat it as either at his election
If the signature is not clear in what capacity the person making in the s ame intended to sign, he is to be deemed as an INDORSER o
Because he assumes least liability
If signed by 2 persons, they are deemed jointly or severally liable
Section 23: Where a signature has been forged or made without authority of the person it purports to be, it is wholly inoperative. The rule of forgery applies to Makers and Indorsers.
Section 24: Every negotiable instrument is deemed prima facie to have been issued for a valuable consideration and every person whose signature appears thereon to have become a party thereto for value.
Section 25: Value is any consideration sufficient to support a simple contract. An antecedent or pre-existing debt constitutes value.
Not Future Debt
Section 28: A person can refuse liability for a NI on the ground of no value having been given to the said instrument. TRUE
But not available against holder in due course.
Section 30: A NI is validly negotiated when it is transferred from one person to a nother in such a manner as to constitute the transferee the holder thereof. If payable to bearer, it is negotiated by delivery. If payable to order, it is negotiated by the indorsement of the holder completed by delivery.
Section 34: A special indorsement specifies the person to whom, or to whose order the instrument is to be payable. A blank indorsement specifies no indoresee and an instrument so indorsed is payable to bearer.
Section 35: How can a blank indorsement converted to a special indorsement? By writing the signature of the indorser in blank.
Section 40: If an instrument payable to bearer is indorsed specially, it may nevertheless be further negotiated by delivery. But the person indorsing specially is liable as indorser only to such holders as make title through his indorsement.
Section 42: A NI drawn or indorsed to a cashier is deemed prima facie to be payable to the bank or corporation of which he is an officer.
Section 43: If the name of the payee has been misspelled, he may indorse the instrument therein describing adding, if he thinks fit, his signature.
Section 47: When does a negotiable cease to be one? Until it has been restrictively indorsed or discharged by payment.
Section 51: The holder of a NI may sure thereon in his own name; and payment to him in due course discharges the instrument.
Section 52: What constitutes a HDIC? A holder who has taken the instrument in the following conditions:
That it is complete and regular upon its face
That he became the holder of it BEFORE it was overdue, and without notice that it had been previously dishonored
That he took it in good faith and for value
That at the time it was negotiated to him he had no notice of any infirmity in the instrument or defect in the title of the person negotiating it
Section 53: When an instrument payable on demand is negotiated an unreasonable length of time after its issue, the holder is not deemed a holder in due course. An instrument that has passed its due date
Section 54: The title of a person who negotiates an instrument is defective when he obtained the instrument or signature through fraud, duress or force and fear or other unlawful means, or for an illegal consideration, or negotiates it in breach of faith. needs to be proven
Section 60: The maker of a negotiable instrument engages that he will pay it according to its tenor and admits the existence of the payee and his capacity to indorse.
Section 65: Every person negotiating an instrument by delivery or qualified indorsements warrants:
That the instrument is genuine and in all respects what it purports to be
That he has a good title to it
That all prior parties had capacity to contract
That he has no knowledge of any fact that would impair the validity of the instrument or render it valueless
Section 72: Is presentment necessary? No Presentment for payment to be sufficient, must be made:
By the holder or an authorized person to receive payment on his behalf
At a reasonable hour on a business day
At a proper place
To the person primarily liable on the instrument
Section 88: Payment in due course when it is made at or after maturity of the instrument to the holder thereof good faith and without notice that his title is defective. Section 89: Notice of dishonor must be given to the DRAWER and to each INDORSER, and any drawer or indorser to whom such notice is not given is discharged. What is a notice of dishonor? - notice that the NI was not accepted and paid
Section 119: A negotiable instrument is discharged:
By payment in due course or on behalf of principal debtor
By payment in due course by the party accommodated
By intentional cancellation by the HOLDER
By any other act which will discharge a simple contract for the payment of money o
Novation, confusion, compensation, donation, loss
When the principal debtor becomes the holder of the instrument at or after maturity in his own right
Section 125: The following constitute a material alteration:
