AND WHEREAS the VENDORS through GENERAL ATTORNEY, out of the SAID PROPERTY have agreed to sell the ENTIRE SECOND FLOOR and the VENDEE has agreed to purchase the same for a total sum of Rs. 9,50,000/(Rupees Nine Lac and Fifty Thousand only). NOW THIS SALE DEED WITNESSETH AS UNDER:— 1. That in pursuance of the said agreement and in consideration of Rs. 9,50,000/-(Rupees Nine Lac and Fifty Thousand only) which sum has already been received by the VENDORS from the VENDEE and the receipt of the same is hereby admitted and acknowledged by the VENDORS in respect of the sale of the SAID PORTION in the SAID PROPERTY in full and nal settlement from the VENDEE. 2. That the VENDORS hereby as owners and lessees of the SAID PORTION in the SAID PROPERTY sell, grant, convey, transfer, assign and assure that the VENDORS’ rights, title and interest in the said portion in the said property alongwith the proportionate lease hold right, super structure built thereon, privileges, easements and appurtenances, whatsoever in the SAID PORTION OF THE SAID PROPERTY, belonging or usually held herewith including all electric, water, sanitary ttings, furniture and xtures ttings, doors and all the estate right, title and interest IN THE SAID PORTION IN THE SAID PROPERTY hereby conveyed and every part thereof TO HAVE AND TO HOLD THE SAME UNTO THE VENDEE, absolutely and forever. 3. That the possession of the SAID PORTION IN THE SAID PROPERTY hereby sold is already with the VENDEE, therefore, proprietory possession has been given by the VENDORS to the VENDEE through this SALE DEED. 4. That the VENDORS have assured the VENDEE that the SAID POR TION IN THE SAID PROPERTY hereby sold is free from all sorts of encumbrances, such as sale, gift, mortgage, court litigations, disputes, notices, charges, lien, etc. and if, it is proved otherwise, then the VENDORS shall be liable and re sponsible to make good the losses thus suffered by the VENDEE. 5. That the VENDORS further assure the VENDEE that they are the exclusive owners of the SAID PORTION IN THE SAID PROPER TY and as such they are fully competent to sell the same to the VENDEE and if someone else claims any right, title and interest in the SAID POR TION IN THE SAID PROPERTY as owner or otherwise then the VENDORS will be liable and responsible to make good the losses thus suffered by the VENDEE. 6. That the VENDORS hereby further covenant with the VENDEE that in case the SAID PORTION IN THE SAID PROPERTY hereby sold or any part thereof is lost to the VENDEE on account of any legal defects in the VENDORS’ right to transfer the same or the possession or quiet enjoyment of the SAID

PORTION IN THE SAID PROPERTY by the VENDEE in any way disturbed on account of litigation started by anyone claiming title thereof or on account of some act or omission of the VENDORS or anyone else claims title and interest paramount to the VENDORS then the VENDORS shall be liable and responsible for all the losses, damages, costs, and expenses, sustained by the VENDEE. 7. That the VENDORS now admit that they have been left with no right, title and interest of any nature whatsoever in the SAID POR TION IN THE SAID PROPERTY and the VENDEE has become the absolute owner and lessee. She will use and enjoy the same in any manner, she likes, including the right to sell, transfer or alienate the SAID PORTION IN THE SAID PROPERTY to anyone including the right to give the same on rent to anyone and to receive the rent and prot and to get the tenant/s evicted through the process of law or by negotiation, to take possession etc. etc. 8. That the VENDEE can get the SAID PORTION IN THE SAID PROPERTY transferred, mutated and substituted in her own name in the records of the L&DO / MCD or any other concerned authority on the basis of this SALE DEED or its certied true copy. 9. That the stairs and other conveniences and amenities alongwith right to gress and engress has been conveyed jointly to the VENDEE herein to use in common alongwith other occupants to the building of the said plot of land. 10. That the VENDEE shall be entitled to install the TV Antena, Dish, Cable, DTH, Internet connection etc. on the roof of the said building. 11. That the VENDEE shall be entitled to maintain the Water Tank on the roof of the said building and for this purpose, she or her agents shall be fully competent to repair, clean etc. etc., the same at her own costs and expenses. 12. That all rights of sewerage, common stair case, essential services and all such other rights as available and permissible under any Act shall be en joyed by the VENDEE uninterrupted together with other owner/s of the Building. 13. That the VENDORS have delivered the original and photostat copies of the original documents, papers, sanctioned plan, etc., in respect of the SAID PROPERTY to the VENDEE on the execution of this SALE DEED. 14. That as per Clause (viii) of the aforesaid registered perpetual LEASE DEED, the permission to sell the SAID PORTION IN THE SAID PROPERTY is not required from the Lessor i.e. the President of India through the Land & Development Ofce (L&DO), Nirman Bhavan, New Delhi. 15. That the VENDEE shall abide by all the terms and conditions of the aforesaid registered Lease Deed of L&DO. 16. That the aforesaid principals/owners constituting registered Attorney are alive and they have not cancelled/revoked the said registered Attorney and as such, the said Attorney is fully competent to execute and register this SALE DEED. 17. That the VENDEE has paid the Stamp Duty, T ransfer Duty and Registration Fee on the execution of this SALE DEED.
